Step 5a: Registering a variable capital company (VCC)

Locals and foreigners with Singpass

• Subscribers to the VCC constitution can register directly. These are the founding members who have signed the VCC constitution.

• You can also engage a corporate service provider (CSP) to register for you.

Foreigners without Singpass

• You must engage a CSP to register for you.

1. Approved VCC name and eService number

You need to successfully reserve a name before you register a new business.

2. Singpass or Corppass credentials

• Singpass: For individuals

• Corppass: For Corporate Service Providers (CSPs)

3. VCC details

• VCC type and financial year end (FYE)

• Office hours

4. Registered office address

The official address where:

• ACRA and others can send legal documents and notices to your VCC.

• You must keep your VCC records and registers.

Requirements:

• Must be open and accessible to the public during normal office hours.

• Does not have to be the same place where you you run your business activities. For example, your registered office can be in Raffles Place while your factory operates in Tuas.

5. Each director and key officer's personal details and contact information

• Nationality

• Identification (ID) type and number

• Telephone number

• Email address

6. Each subscriber's personal details

A subscriber can be either an individual or corporate entity that subscribes to the shares of the proposed VCC.

• Name

• ID number

• Email address

7. Each director and key officer's residential address

All directors and key officers must provide their residential address when they register.

Note: Members of the public can view this address when they buy information about your business.

• You can register a contact address instead to keep your residential address private.

• ACRA will still send all official letters to your residential address.

8. Each director and key officer's contact address, if any

You can file a contact address that meets these requirements:

• Must be in the same country as your residential address

• Must be a place where they can receive messages (like their office or CSP's office)

• Cannot be a P.O. Box address

Note: There are no fees to register a contact address.

9. Fund manager's details

• Unique entity number (UEN)

• Full name and business address

• Country of incorporation

• Signed declaration confirming consent and qualifications

10. VCC constitution

A legal document that sets out how your fund will work. It covers:

• Key details about your VCC

• Rules for how it will be run

• How it will be operated

• Rights and duties of directors, shareholders and company secretary

The public cannot see this document, but the government can ask for it when needed.
