Before you re-domicile

This guide explains how foreign entities can transfer their registration (re-domicile) to Singapore as a VCC.

When you re-domicile as a VCC, you must follow the Variable Capital Company Act 2018. Any existing obligations, liabilities, properties, and rights remain unchanged.

Who may register

Foreign entities that meet eligibility requirements may re-domicile into Singapore as a VCC.

Fund managers of these entities may register for re-domiciliation.

Reserve a VCC name

You need to successfully reserve a VCC name before you re-domicile.

Prepare required information

Gather these details for your registration:

  • Current entity name and registration date

  • Jurisdiction registration details

  • Current registered office address

  • Last financial year end date

  • Proposed first Singapore financial year end

  • Details of directors, officers, and shareholders

  • Fund information (members or investors and capital structure)

Prepare supporting documents

Prepare these documents in PDF format for your registration:

  • Certified copy of the company or VCC constitution from the jurisdiction

  • Proposed Singapore constitution for your VCC. The Singapore Academy of Law (SAL) provides 2 model constitutions you can download and customise.

  • Certificate of incorporation (certified copy)

  • Declarations labelled depending on who files:

    • Corporate service provider: Declaration (Corporate Service Provider)

    • Proposed secretary: Declaration (Secretary)

    • Proposed director: Declaration (Director)

    • Proposed lodger: Declaration (Lodger)

    • Foreign entity directors: Declaration (Director of Foreign Corporate Entity) signed by all directors (or equivalent)

  • VCC: $9,000 + $400 per sub-fund (if your investment fund has multiple collective investment schemes)

Processing time

  • 14 to 60 days from complete submission.

  • This includes additional reviews from referral authorities, if needed.

After you apply, ACRA will email you the outcome. If approved, your business will be registered as a Singapore VCC.

Submit proof that the VCC was deregistered in its jurisdiction.

What you will receive after re-domiciliation

You will receive:

  • Unique entity number (UEN) for the VCC. Use this to deal with government agencies.

  • Links to download a free copy of the VCC's business profile and certificate confirming transfer by registration.

If you need more time to submit your proof of de-registration

If you need more than 60 days to submit proof, follow our step-by-step guide to apply for an extension of time [PDF, 2.3 MB]:

  • Fee: $200 per registration (non-refundable)

  • Processing time: Immediate

  • Extension period: 60 days per extension

  • When to register: At least 14 days before your current deadline

  • What to prepare: UEN and reason for extension

Note: ACRA may cancel your Singapore registration if you do not send proof of de-registration on time.
