Overview of the striking off process for LLPs
Before you apply
This guide explains how to close your LLP by striking off its name from ACRA's register. ACRA may approve the application if it believes that your LLP is not carrying on business and meets the striking off criteria.
Who may apply
Partners of the LLP can file directly.
You may also engage a corporate service provider (CSP) to file on your behalf. CSPs must ensure that the majority of the LLP's partners have consented to the LLP's striking off before they apply.

Check for outstanding tax credits | Ensure your LLP does not have any outstanding tax credits before applying. When your LLP is dissolved, any tax credits will be transferred to the Insolvency and Public Trustee's Office (IPTO). Partners of the closed LLP may approach the Insolvency Office to claim these tax credits, but may have to pay processing fees. |

Step 1: Log in to Bizfile and open the "Apply to strike off business entity" eService
Follow these steps to navigate to the Apply to strike off business entity eService.

Step 2: Enter your striking off information
You need to verify that you are striking off the right LLP. Then, confirm that the LLP meets the striking off criteria and enter your reason for striking off.
If your LLP has other position holders, all or most of them must approve the application within 14 days. Otherwise, the application will lapse.

After you apply
The striking off process starts after your application is approved by ACRA. The process takes at least three months after ACRA approval, depending on whether anyone objects.

(If no objections) First gazette notification | ACRA will publish your LLP's name in the First Gazette Notification within 30 days of approval. |
60-day waiting period | Interested parties can object to the strike off during this period. If an objection is accepted: ACRA will notify your LLP. Your LLP then has two months to resolve the issue. If an objection is not resolved within two months: The striking-off application will lapse. Your LLP can apply again only after the objection is cleared. |

Withdrawing your application
You can withdraw your striking off application [PDF, 1.2 MB] anytime through BizFile.
After your withdrawal is approved, ACRA will publish your LLP's name in the list of entities that withdrew their striking off applications.
