What is a prospectus
A prospectus is a legal document that your company must issue when it offers shares to the public. It provides details about your share offering to help investors make informed decisions.
Note: Private companies cannot offer shares to the public.
When you need a prospectus
Unless exempted, you must issue a prospectus when your company offers shares to the public in Singapore.
Exemption criteria: Section 247 of the Securities and Futures Act
What to include in your prospectus
Your prospectus must contain specific information listed in section 243 of the Securities and Futures Act. Review this section to ensure your prospectus is complete.
After issuing your prospectus
Follow these steps to file a Notice of Compliance with ACRA:
Open the General lodgement eService and log in.
File a Notice of Compliance by Company that has/has not issued Prospectus.
Submit your notice.
