Cancelling or disposing of treasury shares
After your company buys back its own shares, you can cancel, sell, transfer, or use them. You may need to file a notice of cancellation or disposal.
Note: Share transactions are complex and errors can be costly. If you are unsure about share matters or how to file the correct share transactions in Bizfile, seek professional advice from a corporate service provider (CSP).
If you make an error during filing and cannot resolve it by filing a Notice of Error, you may need to obtain an Order of Court to amend the error.
Managing treasury shares
When your company buys back its own shares, those shares become treasury shares. You can manage them at any time in these ways.
Cancel treasury shares
You can cancel the shares so they no longer exist. You can cancel:
All of the shares (full cancellation)
Some of the shares (partial cancellation)
Disposing of treasury shares
You can sell, transfer, or use the shares in certain ways:
Sell the shares for cash
Transfer the shares to employees, directors or others under a share scheme
Transfer the shares as payment for another company's shares or assets, or a person's assets
Use the shares for other purposes approved by the Minister
