Altering share capital
Find out the five ways you can change share capital and learn how to file an alteration in share capital to notify ACRA.
Note: Share transactions are complex and errors can be costly. If you are unsure about share matters or how to file the correct share transactions in Bizfile, seek professional advice from a corporate service provider (CSP).
If you make an error during filing and cannot resolve it by filing a Notice of Error, you may need to obtain an Order of Court to amend the error.
Ways to change share capital
You can change your company's share capital for commercial reasons. Your company's constitution must allow these changes, and you must approve them at a general meeting.
Changing share capital
What you can change | What this does |
|---|---|
Convert shares to stock | Changes all or some fully paid shares into stock |
Reconvert stock back to shares | Changes stock back into fully paid shares |
Consolidate shares | Combines shares into larger denomination. This decreases the total number of shares but keeps the share capital amount unchanged. Example: Combine 10 shares of $1 each into one share of $10 |
Split shares into smaller denominations (share split) | Increases the number of shares but keeps the share capital amount unchanged. Example: Split one share of $10 into 10 shares of $1 each |
Cancel unissued or forfeited shares | Decreases share capital by the cancelled amount. Note: You do not need to adhere to reduction of share capital procedures. |
